TERMS & CONDITIONS — PaybyAir Systems (AERMINT)

These Terms & Conditions (“Terms”) govern your access to and use of the AerMint mobile application and associated services provided by PaybyAir Systems Limited. By downloading, installing or using the App you accept these Terms and our Privacy Policy.

You must be at least the minimum legal age in your jurisdiction and capable of forming a binding contract. You represent you have authority to use any payment method you provide.

Provide accurate information and keep credentials secure. You are responsible for activity under your account and must notify us immediately of unauthorized access.

AerMint facilitates conversion of mobile airtime into programmable payment value, multi‑currency settlement, cross‑border payouts and related payment services via third‑party rails and partners. Service availability, supported corridors, limits and fees are displayed in the App and may change.

Transactions are initiated by you and executed subject to partner networks, liquidity availability, regulatory controls and KYC clearance. Settlement times and routing depend on corridors, banking hours and liquidity providers. We will use commercially reasonable efforts to execute orders but do not guarantee settlement times or specific routing.

Fees and exchange rates are disclosed at transaction entry. FX conversions may be performed by PaybyAir, liquidity partners or correspondent institutions. Rates may change between quote and settlement; you accept market‑driven FX risk. We implement systems to reduce FX friction (multi‑currency routing, netting, liquidity management) but cannot guarantee zero slippage.

You must provide information and documentation required for identity verification and compliance. We may refuse, suspend or reverse transactions if checks fail or if activity is suspicious or unlawful.

Where the App offers digital goods or services via Apple’s In‑App Purchase (IAP) system, purchases will be processed by Apple in accordance with the Apple Media Services Terms and App Store policies. Such IAP transactions are subject to Apple’s refund, billing and dispute processes. Apple is not a party to these Terms and has no obligation beyond its IAP functionality.

For payment services and cross‑border transactions that cannot be delivered through IAP (financial services, airtime conversions, payouts), transactions will be processed by PaybyAir and our partners outside of Apple’s payment system. You acknowledge that Apple is not responsible for those transactions, including settlement, compliance, fees or dispute resolution.

You agree to comply with App Store Review Guidelines and acknowledge that distribution via Apple is subject to Apple’s rules; we may amend App features to remain compliant with App Store policy.

You will not use the App for illegal purposes, money laundering, financing of terrorism, sanctions evasion, fraud, or to facilitate prohibited goods/services. Do not tamper with the App, reverse engineer, or attempt to breach security. Violation may result in suspension, reporting to authorities and termination.

The App integrates with third‑party providers (banks, telcos, IDV providers). Your use is subject to their terms and service levels. We are not liable for third‑party failures beyond our reasonable control.

All intellectual property rights in the App and content are owned by PaybyAir or licensors. You are granted a limited, non‑exclusive, non‑transferable license to use the App for lawful purposes.

To the maximum extent permitted by applicable law, PaybyAir’s liability for direct damages is limited to the greater of (i) amounts you paid to PaybyAir in the 12 months preceding the claim, or (ii) local statutory minimums. We exclude liability for indirect, incidental, special, punitive or consequential damages, loss of profits, or loss of data.

You agree to indemnify PaybyAir from claims, losses, liabilities and expenses arising from your breach of these Terms, misuse of the App, or violation of law.

We may suspend or terminate accounts for breaches, suspected illegal activity, regulatory requirements or by providing notice. Upon termination, certain data may be retained as required by law.

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory consumer protection laws that may apply.

In the event of any dispute, complaint, or disagreement arising from the use of our services, users are encouraged to first contact our customer support team for resolution.

We will make reasonable efforts to investigate and resolve complaints fairly, transparently, and within a reasonable timeframe, in accordance with applicable laws and regulatory requirements.

Where a dispute cannot be resolved through our internal complaint resolution process, either party may seek resolution through the appropriate courts or other legally recognised dispute resolution mechanisms in Nigeria.

Nothing in this section shall restrict or waive any rights or remedies available to users under applicable Nigerian laws, including consumer protection legislation.

Refunds and cancellations are handled per displayed policies and applicable law. Transactions through external partners or telco networks may be irreversible once processed. For IAP purchases, Apple’s refund policies may apply.

You must not use the App in violation of applicable sanctions or export control laws. We reserve the right to block transactions involving sanctioned persons, countries or restricted goods/services.

We may modify these Terms; material changes will be notified via the App or email. Continued use after notification constitutes acceptance.

Entire agreement: these Terms and the Privacy Policy represent the full agreement between you and PaybyAir. If any provision is unenforceable, remaining provisions remain in effect.
